Core Architecture Difference
CEX (Centralized Exchange): A company holds user funds in custodial wallets, runs an order book and matching engine on their servers, and settles trades in their internal ledger. Users do not hold their own keys. The exchange is the counterparty to every trade in the sense that it matches orders and holds funds.
DEX (Decentralized Exchange): Smart contracts hold liquidity pools or facilitate peer-to-peer order matching. Users transact directly from their own wallets — the DEX never holds funds. Trades settle on-chain. No company is the custodian.

When to Build a CEX
You need fiat on/off-ramps. You want full control over the trading experience. Your target users are retail consumers who expect email/password login and customer support. You are in a jurisdiction that has a clear crypto exchange licensing framework. You want to capture the full revenue model (trading fees, withdrawal fees, listing fees, market making spread).
When to Build a DEX
You want to eliminate custody liability. You are building for DeFi ecosystem users who hold their own keys. Your use case is high-frequency token swaps where CEX friction is a competitive disadvantage. You want protocol revenue from LP fees without operating a licensed exchange.
